These Terms of Service govern your use of NextGen Engine. By accessing or using our platform, you agree to be bound by these terms. If you do not agree to these terms, please do not use NextGen Engine.

Acceptance of Terms

By creating an account, accessing, or using NextGen Engine ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

We may update these Terms from time to time. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. We will notify users of significant changes via email or through the platform.

Description of the Service

NextGen Engine is an AI-powered social media automation and customer engagement platform. The Service includes, but is not limited to:

  • Social Media Automation: Scheduling, publishing, and managing content across Instagram, Facebook, and WhatsApp Business.
  • AI-Powered Assistants: Automated comment replies, direct message responses, captions, hashtags, and business insights generated by artificial intelligence.
  • Analytics & Reporting: Performance metrics, engagement analytics, and audience insights for connected social media accounts.
  • Customer Support Automation: AI-driven inbox management, lead qualification, and conversational AI for customer interactions.
  • Knowledge Base & Document Processing: Uploading and processing Excel files, website URLs, and documents to enhance AI responses.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content.

User Accounts

To access certain features of the Service, you must register for an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information about yourself and your business.
  • Maintain the confidentiality of your account credentials and password.
  • Notify us immediately of any unauthorized access to or use of your account.
  • Accept full responsibility for all activities that occur under your account.
  • Ensure that your use of the Service complies with all applicable laws and regulations.

We reserve the right to disable or suspend any user account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Connected Social Media Accounts

The Service integrates with Instagram, Facebook, and WhatsApp Business via Meta's Graph API. By connecting your social media accounts, you agree to the following:

  • Authorization: You explicitly authorize NextGen Engine to access your connected Meta accounts (Instagram, Facebook, WhatsApp) solely for the purpose of providing the features you have enabled.
  • User Responsibility: You remain solely responsible for all content published, scheduled, or modified through your connected social media accounts. NextGen Engine acts as a tool, and you retain full liability for any content distributed via the Service.
  • Compliance: You must comply with Meta's Platform Policies, Terms of Service, and all applicable laws when using the Service with connected social media accounts.
  • Review Before Publishing: AI-generated content should be reviewed before publishing. While we strive for accuracy, AI-generated captions, hashtags, and replies may contain errors, inappropriate content, or unintended messaging. You are responsible for reviewing and approving all content before it is published.
  • Disconnection: You can disconnect your social media accounts at any time through your account settings. Upon disconnection, we will delete associated data within a reasonable timeframe.
  • No Affiliation: NextGen Engine is not affiliated with, endorsed by, or connected to Meta Platforms, Inc. Meta is a separate company with its own terms and policies.

Important: You are responsible for all content published through your connected social media accounts. Always review AI-generated content before publishing. NextGen Engine is not affiliated with or endorsed by Meta.

AI-Generated Content Disclaimer

NextGen Engine uses artificial intelligence to generate captions, hashtags, replies, reports, and other content. You acknowledge and agree that:

  • Human Review Required: AI-generated content should always be reviewed by a human before publishing. AI outputs may contain errors, inaccuracies, biases, or unintended messaging.
  • No Guarantees: We do not guarantee the accuracy, completeness, or suitability of any AI-generated content. The Service is provided "as is" without warranties of any kind.
  • User Liability: You are solely responsible for any content published, sent, or distributed through the Service, regardless of whether it was generated by AI.
  • Intellectual Property: You retain ownership of content you create and publish through the Service. AI-generated suggestions are provided as tools to assist you, and you are free to edit, modify, or reject them.
  • Model Limitations: AI models may produce unexpected or undesirable outputs. We are not liable for any damages resulting from reliance on AI-generated content.

User Responsibilities

As a user of NextGen Engine, you agree to:

  • Use the Service only for lawful purposes and in accordance with these Terms.
  • Not use the Service to send spam, unsolicited messages, or malicious content.
  • Not attempt to gain unauthorized access to any portion of the Service or its related systems.
  • Not interfere with or disrupt the integrity or performance of the Service.
  • Not use the Service to impersonate any person or entity, or falsely state or misrepresent your affiliation.
  • Comply with all applicable laws, including data protection, privacy, and intellectual property laws.
  • Ensure that your connected social media accounts are in good standing and comply with the respective platform's terms.
  • Review and approve all content before it is published or sent through the Service.

Acceptable Use Policy

You may not use the Service to:

  • Violate any local, state, national, or international law or regulation.
  • Post, transmit, or store content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Infringe upon the rights of others, including intellectual property, privacy, or publicity rights.
  • Distribute viruses, malware, or any other malicious code.
  • Attempt to reverse engineer, decompile, or discover the source code of the Service.
  • Scrape, crawl, or use automated means to access the Service without our prior written permission.
  • Use the Service to send unauthorized promotional emails, messages, or other forms of communication.
  • Interfere with or circumvent any security or authentication measures of the Service or connected platforms.

Violation of this Acceptable Use Policy may result in immediate termination of your account and access to the Service, at our sole discretion.

Subscription, Billing, and Future Paid Plans

Currently, NextGen Engine offers a free trial period for new users. We reserve the right to introduce paid subscription plans and billing features in the future. If paid plans are introduced:

  • Pricing: Paid plan pricing, features, and billing cycles will be clearly displayed before you subscribe.
  • Billing: You will be billed in advance on a recurring basis (monthly or annually) depending on your selected plan.
  • Auto-Renewal: Subscriptions will automatically renew unless canceled before the renewal date.
  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • Refunds: Refunds will be handled on a case-by-case basis in accordance with our refund policy, which will be published when paid plans are introduced.
  • Changes to Pricing: We reserve the right to change pricing for future billing cycles. We will provide at least 30 days' notice of any price changes.

Until paid plans are introduced, all current features remain available during the free trial period. We will notify users well in advance of any transition to paid plans.

Intellectual Property

Our Intellectual Property: The Service, including its original content, features, design, code, and trademarks, is and remains the exclusive property of NextGen Engine and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Your Content: You retain all rights to the content you create, upload, or publish through the Service. By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing and improving the Service.

AI Outputs: AI-generated suggestions, captions, hashtags, and other outputs provided by the Service are provided as tools to assist you. You are free to use, modify, and publish these outputs as you see fit. We do not claim ownership over AI-generated content that you choose to publish.

Feedback: Any feedback, suggestions, or ideas you provide about the Service are voluntary, and we may use such feedback without obligation to you.

Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

Third-Party Services

The Service integrates with and relies on third-party services to deliver its functionality. These third-party services operate under their own terms and policies:

  • Meta (Facebook, Instagram, WhatsApp)

    Our integrations with Meta platforms use Meta's official Graph API and are subject to Meta's Platform Terms and Data Policy. NextGen Engine is fully compliant with Meta's App Review requirements. NextGen Engine is not affiliated with, endorsed by, or connected to Meta Platforms, Inc. Users must comply with Meta's Platform Policies and all applicable laws.

  • OpenAI (if enabled)

    When OpenAI is enabled for your account, data is processed via OpenAI's API. We have signed data processing agreements with OpenAI where applicable. OpenAI's own privacy policy governs their handling of data.

  • Ollama (Local AI)

    Ollama runs locally on your or your organization's infrastructure. Data processed via Ollama does not pass through NextGen Engine's servers and is subject to your own infrastructure security controls.

  • Hosting Providers

    Our platform is hosted on secure cloud infrastructure. These providers perform standard hosting and security functions under contract. They do not access or use your data for any purpose other than providing hosting services.

Important: NextGen Engine is not affiliated with or endorsed by Meta. Users must comply with Meta Platform Policies and all applicable laws.

Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance or updates (we will provide advance notice when possible).
  • Force majeure events, including but not limited to natural disasters, war, terrorism, riots, or embargoes.
  • Third-party service outages, including Meta API disruptions or AI service unavailability.
  • Technical failures, cyberattacks, or infrastructure issues beyond our control.

We are not liable for any loss, damage, or inconvenience arising from the unavailability of the Service or any portion thereof.

Limitation of Liability

To the maximum extent permitted by law, NextGen Engine, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

  • Loss of profits, data, goodwill, or other intangible losses.
  • Damages arising from your use of, or inability to use, the Service.
  • Damages resulting from unauthorized access to or use of your data.
  • Damages arising from AI-generated content published through the Service.
  • Any damages resulting from third-party services, including Meta, OpenAI, or hosting providers.

In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Service exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

Suspension and Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe:

  • Violates these Terms of Service.
  • Is harmful to other users, third parties, or the integrity of the Service.
  • Exposes us or others to legal liability.
  • Constitutes fraud, abuse, or misuse of the Service.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

You may also terminate your account at any time by contacting us or using the account deletion feature within the platform. Upon termination, we will delete your personal data in accordance with our Privacy Policy.

Changes to These Terms

We may revise these Terms from time to time to reflect changes in our practices, technology, legal requirements, or business operations. When we make significant changes, we will notify you by:

  • Posting the updated Terms on this page with a revised "Last Updated" date.
  • Sending an email notification to the address associated with your account.
  • Displaying a prominent notification within the NextGen Engine platform.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should stop using the Service and may terminate your account.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the appropriate courts or tribunals having jurisdiction.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
